2. Defining elements

 

a. Buyer – natural or legal person who places an Order. b. Seller – the commercial company Carel Woodworks SRL, with its registered office in Satu Mare Romania, registered at the Trade Register under no. J30/29/2001, Fiscal Identification Code RO14077365 c. Goods and Services – any product or service, including the documents and services mentioned in the Order, to be provided by the Seller to the Buyer. d. Order – an electronic document that acts as a form of communication between the Seller and the Buyer by which the Seller agrees to deliver the Goods and Services and the Buyer agrees to receive these Goods and Services and make payment for them. e. Contract – an Order confirmed by the Seller.

3. Contract Documents

By placing an electronic or telephone order on the www.carel.ro website, the Buyer agrees to the form of communication (telephone or e-mail) through which the Seller conducts its operations. The order will consist of the following documents, in order of importance: a. The order (together with clear mentions of delivery and billing dates) and its specific terms; b. Buyer's Specifications (if applicable); c. Terms and Conditions.

If the Seller confirms the Order, this will imply full acceptance of the terms of the Order. Acceptance of the Order by the Seller is considered completed when there is a verbal (telephone) or electronic (e-mail) confirmation from the Seller to the Buyer, without requiring a confirmation of receipt from the Buyer. The Seller does not at any time consider an unconfirmed order as having the value of a Contract. This Agreement enters into force upon confirmation of the Order by the Seller. Confirmation is done by phone or electronically (e-mail). The general terms and conditions of sale will form the basis of the Contract thus concluded.

4. Extension of Seller's Obligations

a. The information presented on the seller's website is informative and may be modified by the Seller without prior notice. Also, for reasons of space and the coherence of the information structure, product descriptions may be incomplete, but the seller makes efforts to present the most relevant information, so that the product is used within the parameters for which it was purchased;

· the right to request, free of charge, Carel Woodworks to rectify, update, block or delete those data provided, the processing of which is not in accordance with the provisions of Law no. 677/2001;

· the right to ask Carel Woodwors to stop, free of charge, the processing of your personal data;

· the right to ask Carel Woodworks to stop sending promotional messages.

Any such request / notification will be dated, signed and sent by the person registered in the database by e-mail to sales@carel.ro. The www.carel.ro website uses security measures against the loss, alteration or misuse of information under our control.

 

Carel Woodworks cannot be held responsible for errors resulting from the user's negligence regarding the security and confidentiality of his account and password.

9. Return Policy

The buyer can cancel an order by phone or email, at no additional cost, if the shipment has not yet been made. If the order has already been paid, its value, less commissions and fees charged by the banks for the two transactions, will be returned to the buyer.

 

If the order has already been shipped and the buyer cancels it, he will bear the related return costs, and from the value of the order that is returned to the buyer, any commissions and bank charges incurred during the initial purchase and upon return will be withheld.

According to O.U.G. 34/2014, you have the right to return the products purchased online, within 14 calendar days, if the returned product is in the original packaging and in the same condition in which it was received.

 

We do not accept the return of products that have been opened and have physical changes of any kind that cannot be resold. Returned products must show the original label and all related accessories, and have no signs of use, damage or wear. We do not accept parcels with cash on delivery or for which the recipient pays for the transport.

Customers are asked to take photos of parcels that do not arrive in good condition and send them by email to sales@carel.ro specifying the irregularities found.

 

If products other than those ordered by the customer were erroneously placed in the package, he is asked to inform www.carel.ro and is exempted from paying their value, as well as from paying the related return costs. If the customer finds that some products are missing from the package or there are errors in the accompanying invoice, they must report them in writing or by phone within 5 days of receiving the package.

 

If the returned products are the subject of a complaint regarding their quality, the buyer has the obligation to send comprehensive and detailed photos as well as explanations regarding the non-compliant product to the email address sales@carel.ro. The products will be inspected by the seller and if no other differences from the product description on the store are found after the inspection, the refund will be refused. Before complaining about the quality of a product, the buyer has the obligation to read its description on the store, as some products may naturally have differences but which do not constitute quality problems.

We cannot control how customers store and handle purchased products, therefore complaints related to the quality of products that have been stored in improper conditions or that have been used in a way other than that recommended on the store will not be considered.

 

10. Delivery Policy

 

Delivery is free throughout Romania to the customer's house/block within 14-42 working days. Downloading and installing the products is not included.

 

The delivery is carried out by road transport in groupage mode. The transport fee is valid for any town in Romania. Deliveries are made from Monday to Sunday at a time that is convenient for both the carrier and the buyer.

 

If the Buyer is not found at the address specified in the Order, the carrier will call the Buyer by phone and they will establish another time slot on the same day. If the Order could not be delivered to the Buyer, the package will be returned to the Seller within a few days and the Buyer will bear the cost of the return. On the next delivery of the product, the transport will no longer be free, it will be borne by the Buyer.

​

Alternative shipping methods are not available upon request.

 

Carel Woodworks reserves the right to delay or cancel the shipment of the Order if it cannot be honored for reasons beyond Carel Woodworks' control which include: fire, explosion, flood, epidemic, strike, government action, war, act of terrorism, protest, riot, civil disturbances or other force majeure impediments according to the customs of Romanian law. The maximum amount of damages that can be paid by Carel Woodworks to the Buyer in case of non-delivery or improper delivery, is the amount collected by Carel Woodworks from the Buyer.

 

 

11. Terms, Penalties

If the deadlines for delivery and/or initiation of the Order cannot be met, the Seller is obliged to notify the Buyer of the estimated deadline for completing the delivery.

If the Seller receives erroneous information related to the invoicing or delivery of the products, a new deadline for honoring the order will be established, falling within 3 working days.

12. Billing, Payments

The price, payment method and payment term are specified in the Order. The Seller will issue an invoice to the Buyer for the Goods and Services delivered, the Buyer's obligation being to provide all the information necessary to issue the invoice in accordance with the legislation in force.

 

13. Risks and Responsibilities

a. Delivery

The Seller undertakes to ship the Goods and Services by road transport in groupage mode.

b. Transport – Packaging

Unless otherwise agreed by the Seller and the Buyer, the Seller discharges the risks and responsibilities associated with the Goods and Services at the time of their delivery to the transport company with which the Seller cooperates or to the representative of the Buyer.

The Seller will ensure the proper packaging of the Goods and Services and will ensure the transmission of the accompanying documents.

The Seller will deliver the Products and Services on the territory of Romania.

14. Acceptance of the Agreement

Acceptance will be made when the Products and Services conform to the technical characteristics stated in the Order. If the Buyer discovers that the Products delivered or the Services provided do not conform to the technical specifications, then the Seller will bring the Products and Services into conformity, unless Carel Woodworks is unable to do so due to external factors, in which case it undertakes to reimburse the consideration paid by the Buyer, if applicable. Also, for the products sold and delivered by www.carel.ro (SC Carel Woodworks SRL) the Buyer benefits from the possibility of returning the products within 14 days of receipt.

 

15. Warranties

Carel Woodworks guarantees that the products are new, in durable packaging and come from the authorized manufacturer SC Carel Woodworks SRL

 

All Goods sold by Carel Woodworks benefit from warranty conditions in accordance with the legislation in force and the commercial policies of the manufacturers.

Carel Woodworks is confident in its quality wood products. We are extremely proud of the workmanship of our product. We realize that purchasing our furniture is an investment in quality that will last for generations to come.

That is why we offer a guarantee that covers defects in workmanship, material and construction of our furniture for a period of two years starting from the date of receipt of the product.

If the customer finds a defect during that period, it is important to promptly notify Carel Woodworks within 5 days. Explanations and photographs are required to establish the cause of the damage. Also, the complaint related to the product must be made based on the product label applied to the inside of the containing piece of furniture

information about the manufacture of the product (a photo is needed).

We will then replace the defective item or refund your money.

Wood is a product of nature and as such no two pieces are exactly alike.

Wood owes its inherent beauty to variations in color, grain and texture - therefore these variations are not considered defects. There may be minor variations from o

piece of furniture to another, although they are finished at the same time. Also,

wood and stone are natural materials with variations in shade, configuration,

striations and grain structure. Each individual piece of furniture has characteristics,

markings that will differ from photos or showroom samples. Due to the natural material used in the manufacture of Carel products, variations may occur even in veneer or hardwood. Unique characteristics inherent in certain species of wood and stone are beyond the control of Carel Woodworks and are not considered a defect.

porous; as a result it is vulnerable to moisture. Since wood is made up of water, your furniture will shrink and expand with changes in humidity and temperature, these are normal and expected changes throughout the year.

When the humidity in the air increases (that is, the humidity increases), the wood absorbs the water and

it swells a little; when the air dries (ie the humidity drops), the wood emits

moisture and it contracts. These responses to changes in humidity weaken the woodwork joints, can cause the wood to split or crack, and can damage the finish. These are all features that should be accepted when purchasing solid wood furniture and will not affect the quality or structural integrity of the piece.

Proper care of your wooden furniture is necessary. We use quality hardwood in our furniture production.

However, if the humidity goes out of the ideal range and the solid wood products begin to expand or contract, causing splits and cracks in the joints of the wood panels as a result of an uncontrolled environment, these are not considered defects. If

the environment is not controlled these conditions should be appreciated as inherent

characteristics of solid wood.

As a manufacturer, we do our best to prevent the above situation

but we have no control over natural wood products. All solid wood furniture from

Care Woodworksl is professionally dried to an appropriate moisture content.

To reduce the effects of wood movement, avoid placing your furniture directly in front of heat sources such as fireplaces or radiators, heat dries out the wood excessively. Electrical components such as computers and transformers should not be placed directly

on a solid wood surface, otherwise cracking will occur beyond Carel Woodworks' responsibility and will not be covered by a warranty claim. Avoid exposure to direct sunlight, use humidifiers in cooler, drier seasons and air conditioners in warmer seasons. The humidifier is always recommended in a location with solid wood products.

Make sure your location has an adequate level of humidity throughout the year. You may

purchase a moisture meter from most hardware stores. Remember that wood has a life of its own.

Gradually change your thermostat settings as the seasons change. A sudden change in temperature or humidity is the worst possible thing as the moisture will be absorbed into the material far too quickly causing tension within it. Excess heat and dryness can even cause cracking and splitting within hours. It's also important to remember that placing your piece in front of a window in direct sunlight can dry out your piece and cause it to crack and split!

Our products are sealed and varnished with high quality products. We use water-based varnish as a finishing process to protect your furniture.

Although we have found the finishing process to be very durable, any finish will be damaged if not cared for properly. Burns, cuts, scratches, bumps, and sunlight will cause damage and affect the quality of the finish and is therefore not covered by the warranty. Damage resulting from marking or staining of veneer/wood/fabric surfaces due to contact with rubber, pen, pencil or similar compounds, as well as damage caused by sharp objects or imprints from writing instruments is not covered by the Carel Woodworks warranty.

Also, cleaning with inappropriate detergents, abrasives or other cleaning agents will damage the finish. Previous actions are not covered by this warranty.

Protect surfaces from liquids and excessive heat. The wood finish is made to withstand most liquids for short periods of time. Liquids left on surfaces overnight will stain and cause substantial changes to both solid wood and veneer that may not be repairable. Avoid staining upholstery with any liquid, substance, food, etc.

For best cleaning results, you should use a damp cotton cloth. Do not move the wet cloth in circles or against the grain of the wood - this

may scratch the surface. Never use silicone or wax based products. This will cause a cloudy build-up and take away from the natural shine and beauty of the wood.

Tables are not designed or intended to be used as chairs or stairs. Sitting on tables can cause tipping and/or structural problems that cannot be repaired. Solid wood tables should not be pushed or dragged, this can cause the legs to break

to lock due to the weight, therefore loosen the screws and the legs may come off or break.

 

This warranty does not apply to any defects or damage caused during transport or

due to lack of proper care/maintenance or results from assembly or installation abuse or accident.

Carel Woodworks cannot be held liable for commercial loss, consequential damages or other damages that may arise as a result of any defects or malfunctions of the product due to negligence, improper maintenance, abuse, misuse or accidents by

customer as well as damage caused by normal wear and tear such as bumps, breaks, scratches, stains, fading and improper maintenance will void the warranty.

Our warranty is only valid if the products are used and cared for properly.

Carel Woodowrks assumes no responsibility for damage resulting from installation or repurposing of the product.

Helpful tips to ensure you enjoy your purchase:

- Avoid direct sunlight for extended periods of time

- Do not use detergents, abrasive cleaners or other unsuitable cleaning agents, wipe your furniture with a slightly damp cloth in the direction of the wood grain.

- Avoid placing furniture directly in front of radiators, fireplaces or other sources of heat

- Try to maintain a humidity level of around 45-55%

- Avoid impact with hard or heavy objects.

- Wipe up liquid spills immediately.

- Avoid placing hot objects directly on the furniture, this will damage the protective finish.

- Select a location where your furniture will not be bumped and doors and drawers can be opened easily without bumping or hitting other objects.

All of the above steps are guidelines to give longevity to your furniture. If not followed properly, they can lead to major damage to the product that is not covered by Carel Woodworks.

LOSSES, DAMAGES:

Carel Woodworks cannot be held liable for any commercial loss, consequential or other damages that may arise as a result of any defects or malfunctions of the product.

PACKAGING AND TRANSPORT:

Good Carel products are delivered as components. Countertops and other items are packed with plastic wrap, corner protectors and cardboard boxes. If the customer requests special shipping or other delivery methods, the customer is responsible for any additional costs that may result.

 

 

The goods benefiting from the guarantee, which do not comply with the specifications on the Website at the time of placing the Order, are non-functional or have manufacturing defects, can be returned without the involvement of additional costs from the Buyer, following a written notification (by email) within of 5 days from their receipt, in which the nature of the lack of conformity will be specified. The buyer can request the return of the value of the product or its replacement with a compliant one. If the Seller cannot replace the product with a compliant one, it will refund its value.

16. Transfer of Property

Ownership of the Goods and Services will be transferred at the time of payment by the Buyer at the location indicated in the order (understood by delivery – signing of receipt of the transport document (CMR) provided by the transport company). The carrier is not authorized by the Seller to allow the Buyer to open the packages before signing the package receipt document, but only after signing the package receipt document.

 

17. Liability

The Seller shall not be liable for damages of any kind which the Buyer or any third party may suffer as a result of the Seller's performance of any of its obligations under the Order, and for damages resulting from the use of the Goods and Services after delivery, and especially for product loss.

The Seller will be liable if its sub-contractors and/or partners of any kind involved in the execution of the Order do not fulfill any of the contractual obligations.

18. Force Majeure

Neither party shall be liable for failure to perform its contractual obligations if such failure is due to a force majeure event. Force majeure is the unforeseeable event beyond the control of the parties and which cannot be avoided.

 

19. Applicable Law

This document is subject to Romanian law. Any disputes arising between the Seller and the Buyer will be resolved amicably or, if this is not possible, the disputes will be settled by the competent Romanian courts.

 

19. Other Provisions

The parties to the contract shall be considered independent contractors and neither party shall have the right or authority to assume or create any obligation on account of or to the detriment of the other. The terms and conditions contained in this document supersede any prior written or oral understandings between the said Parties regarding the subject matter of this Agreement and may not be modified or changed except by written agreement signed by both parties.
